General Terms and Conditions for Metropolitan France, French Overseas Departments and Territories, and Monaco


1. Introduction

The present terms have been agreed between Baxo, 7 rue de l'artisanat 81300 GRAULHET, SIRET Number 408 579 746 000 20, Party of the First Part, hereinafter referred to as "Baxo" and those persons conducting purchases on Baxo's internet site http://www.cordiz-store.com, Party of the Second Part, hereinafter referred to as the "Client." The parties agree that their relationship shall be governed exclusively by the present contract, to the exclusion of any terms previously available on this site. Should any one of the terms be deemed defective, the relevant customary terms applicable in the distance selling sector for companies headquartered in France shall be applicable.

 

2. Scope

The present terms define the sales terms between Baxo and the Client, for ordering services, including payment and delivery.

These terms cover all stages required to process the order and ensure follow-up for this order between the contracting parties.

 

3. Orders

The client shall have the ability to place orders on the Internet from the site www.cordiz-store.com.

Orders may only be recorded on the site if the client is clearly identified by entering an e-mail address and password (client account access), which are strictly personal. Should the client not have a client account, one must be created in order to place an order.

Contractual information shall be presented in French and shall be confirmed in a review of said contractual information when validating the order at the latest.

The client hereby acknowledges familiarity with and acceptance of these general terms and conditions before placing the order. Validating the order shall be deemed acceptance of said general terms and conditions.

Placing an order shall be deemed acceptance of the price and descriptions of the products available for sale. Any disputes regarding this point shall be subject to exchange and the guarantees hereinafter.

Baxo agrees to honor all orders received on the Internet site www.cordiz-store.com subject to availability. Should a product not be available, Baxo agrees to inform the client.

 

4. Delivery

Shipments may only be made to France, its overseas departments and territories, and Monaco.

Products shall be delivered to the delivery address indicated by the client when placing the order. The delivery date shall correspond to the shipment time indicated in the item datasheet plus processing and delivery time.

Delivery shall use the "Colissimo 48h" service provided by La Poste. The delivery deadline shall be determined from the time your package is submitted to La Poste. Invoicing for this service shall be included in the order. It varies depending on your order's weight.

 

5. Terms of Payment

The client may choose to pay for the purchase by:

- Check: in this case, Baxo shall ship the order only after receiving payment at the address indicated in Article 1. Checks must be written on a bank located in metropolitan France or in Monaco.

- Bank Card: Visa, MasterCard

- PayPal: clients who possess a PayPal account may pay using this module.

Products shall remain the exclusive property of Baxo until paid in full.

 

6. Pricing

The prices listed in euros include all taxes. They include the applicable VAT on the day of the order. These prices shall be understood exclusive of handling (transportation, packing, package preparation according to the applicable rate).

Any change in applicable rate shall be reflected in product pricing. Nevertheless, princes may not be changed once the client has placed an order. Similarly, should one or more taxes or contributions be created or changed, upwards or downwards, said change may be reflected in the sales price for items present on Baxo's site.

The prices indicated on the site shall be guaranteed for the duration they are online and subject to availability.

 

7. Client Rights

Right of Exchange or Reimbursement

All items may be exchanged or reimbursed should they be defective, soiled, or damaged or do not correspond to the order, within 15 days from the day your package is received or picked up.

In this case, please provide a detailed, written statement and send the product(s) to the address indicated in Article 1. At your discretion, Baxo shall exchange or reimburse the product(s). Shipping costs shall be reimbursed based on the rate invoiced. Return costs shall be reimbursed upon presentation of supporting receipts.

Right of Rescission

In accordance with applicable legal provisions, the client shall have 7 clear days from the date the products are received to exercise the right of rescission without penalty and without requiring justification.

Should the right of rescission be exercised within the abovementioned deadline, only the price for the products purchased and shipping costs shall be reimbursed; return costs shall remain the client's responsibility.

Returns shall be in their original state (packaging, accessories, instructions...), so they may be re-sold as new, and accompanied by a copy of the invoice for optimal handling.

The return address shall be that mentioned in Article 1.

Exchange and Reimbursement Procedures

Exchange: Should the new order be for a greater amount, the user shall include payment for the remainder in the exchange request. Conversely, should the exchange be for a lesser amount than the initial order, the user shall receive, upon request, a credit in the form of a code (by e-mail) useable on the site  www.cordiz-store.com to reimburse the difference.

Reimbursement: Reimbursements for products under the cases outlined hereinabove shall be paid without undue delay and within 30 days following the date the right was exercised at the latest.

 

8. Guarantees

All items shall be subject to a contractual guarantee equal to one year against manufacturing defects, notwithstanding the legal guarantee provided by Articles 1641 and following of the Civil Code.

Article L211-4 of the French Consumer Code

The seller shall deliver an item in compliance with the contract and shall be responsible for non-conformities existing at delivery. The seller shall also be responsible for non-conformities resulting from packaging, assembly or installation instructions where placed under the seller's responsibility by the contract or performed under the seller's responsibility.

Article L211-5 of the French Consumer Code

To comply with the contract, the item must:

1) Be suitable for the use generally expected for similar items, and where appropriate:

- Correspond to the description provided by the seller and have the qualities presented to the purchaser in the form of samples or models.

- Present the qualities that a purchaser may legitimately expect given the public statements made by the seller, the manufacturers or its representatives, particularly in advertising and labeling;

2) Or present the characteristics defined by mutual agreement between the parties or be suitable for any special use sought by the purchaser of which the seller was aware and accepted.

Article L211-12 of the French Consumer Code

Proceedings resulting from non-conformities shall be barred after a period of two years from the delivery of the item.

Article 1641 of the French Civil Code

The seller shall be responsible for applying the guarantee against hidden defects for the item sold which makes it unsuitable for the use for which it was designed, or diminishes such suitability, such that the purchaser would not have acquired it, or would have paid a lower price, had said defects been known

Article 1648 Paragraph 1 of the French Civil Code

Proceedings resulting from redhibitory defects must be filed by the purchaser within two years from the date the defect is discovered.

 

9. Signatures and Proof

All site users who do not have a client account must follow the inscription procedure to obtain a client account.

In all cases, supplying a bank card number online and the order's final validation shall constitute proof for the entire order in accordance with the provisions of the law dated March 13th, 2000 and shall constitute payability for the sums agreed for the items indicated on the order.

This validation shall constitute signature and express acceptance of all operations conducted on the site. Nevertheless, should the bank card have been used fraudulently, the client is requested to contact Baxo, as soon as the fraudulent use is noticed, at +33 (0)5 63 34 46 40.

Responsibility

For all order placement stages as well as those stages posterior to concluding the contract, Baxo shall have an obligation to achieve a result.

Item photos are provided for illustrative purposes. Baxo invites clients to consult the description for each product for specific characteristics. Baxo agrees to describe the products sold on its Internet site with the greatest accuracy. In case of doubt or for supplementary information, please contact Baxo by e-mail at contact@cordiz-store.com.

Conversely, Baxo shall not be held responsible should the non-execution of its obligations be due to an unforeseeable or insurmountable action by a third-party to the contract or in cases of force majeure as defined by French jurisprudence. Similarly, Baxo shall not be held responsible for any inconvenience or damages inherent in using the Internet, in particular service disruptions, external intrusion, or the presence of a computer virus.

Personal Data

Baxo reserves the right to collect user data, in particular through the use of cookies. Cookies shall only be used to improve personalized service to the client. Their purpose is to indicate the client's passage on Baxo's commercial site.

Data collection by Baxo, responsible for handling, is required to accept user requests, manage orders and commercial relations. Data may be communicated to companies participating in these relations. This information and data shall also be held for security reasons, in order to comply with legal and regulatory obligations and improve the services and information Baxo provides to its clients.

In accordance with the computerized personal data law dated January 6th, 1978, users have a right to access, correct, and oppose their personal data records:

- Either directly on Internet on Baxo's commercial site

- Or by mail addressed to Baxo at the address indicated above, including last name, first name, and e-mail address. Requests by mail must be signed and accompanied by a photocopy of an identifying document

By providing an e-mail address to Baxo, clients may receive order confirmations. Based on the choices made during account creation or consultation, users may receive offers from Baxo. Should the user desire not to receive such offers, a request may be submitted at any time:

- Either directly on the Internet

- Or by mail addressed to Baxo at the address indicated above, including last name, first name, and e-mail address.

Users are hereby informed that such automated information processing, particularly e-mail address handling has been declared to the CNIL under number 1296503 dated June 3rd, 2008.

Baxo shall take all necessary steps to ensure the confidentiality and security for all data on its website. To this end, the Internet site uses an SSL (Secure Socket Layer) secure payment mode.

Intellectual Property

All elements on Baxo's website, both visual and audio, are protected by copyright, trademark, and patents.

They are Baxo's exclusive property. Users who have a personal Internet site and who desire to place a simple hyperlink to Baxo's homepage at www.cordiz-store.com for personal use must request permission from Baxo.

In no case shall this be interpreted as an implicit affiliation agreement. Conversely, all hypertext links to Baxo's site www.cordiz-store.com using a framing or in-link liking technique are strictly prohibited.

In any case, all links, even tacitly authorized, must be removed upon request from Baxo.

Full Agreement

Should one of the articles in the present contract be deemed null and void due to changes in legislation or regulations or by a legal decision, the validity of and compliance with the present general terms and conditions shall remain unaffected.

Duration

The present terms shall be applicable as long as Baxo provides online products and services.

Proof

Electronic data, maintained in Baxo's information systems and those of its partners under reasonable security conditions shall be deemed proof of communication, orders, and payments occurring between the parties.

Transaction Conservation and Archiving

Archiving for purchase orders and invoices shall be performed on a reliable and durable medium to provide a reliable and durable copy in accordance with Article 1348 of the French Civil Code

Applicable Law and Competence

The present terms shall be subject to French law. In the event of litigation, only French courts shall be competent. The competent French court shall be that of the defender's place of domicile or, at the plaintiff's choice, the place the product was effectively delivered.
